Welcome to A9Leads! These Terms of Service ("Terms") govern your use of the A9Leads platform and services ("Services") provided by A9Leads LLC, an Illinois limited liability company and a partner of Green Musk LLC ("A9Leads," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
Subject to your compliance with these Terms, A9Leads grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your internal business purposes as intended through the provided functionality.
A9Leads is an artificial intelligence (AI) platform. While we strive to provide accurate and effective services, you acknowledge that AI can make mistakes and generate unintended or inaccurate outputs. A9Leads does not guarantee any specific outcomes or results from the use of its Services. You understand and agree that any actions taken based on the information or outputs provided by our platform are at your own risk.

The A9Leads platform may not be used for any unlawful, harmful, or malicious activities. Specifically, you agree not to:
Users may cancel their subscriptions at any time. The subscription will remain active until the end of the current paid term, unless the cancellation is due to a violation of these Terms. Cancellation requests must be submitted prior to the next billing cycle's renewal date to avoid charges for the subsequent period. No partial refunds will be issued. Unsuccessful payment attempts may result in a pause or suspension of your account and access to Services.
"User Data" means all data, information, content, and materials provided or made available by you or on your behalf for use with the Services, including any personal information of end-users or contacts. You retain all right, title, and interest in and to your User Data.
You hereby grant A9Leads a worldwide, royalty-free, non-exclusive license to access, use, process, copy, distribute, perform, display, and store your User Data solely to the extent necessary to provide, maintain, and improve the Services for you, and to perform A9Leads' obligations under these Terms. This license includes the right to transmit User Data to and from underlying third-party services integrated with or utilized by the A9Leads platform to deliver its functionalities.
"Platform Generated Data" means all data, insights, analytics, and derivative works generated by the A9Leads platform through its operation, excluding User Data. Platform Generated Data is owned by A9Leads LLC. Users are granted a non-exclusive, non-transferable license to use Platform Generated Data related to their activities for their internal business purposes during their active subscription.
A9Leads may analyze User Data in an aggregated and anonymized form ("Aggregated Data") for the purposes of improving the quality, features, and performance of its platform and Services. A9Leads will own all right, title, and interest in and to Aggregated Data. For clarity, Aggregated Data will not identify you or any individual.
HIPAA Compliance: If you are a Covered Entity or Business Associate under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and will use the Services to process Protected Health Information ("PHI"), you must notify A9Leads and enter into a Business Associate Agreement ("BAA") with A9Leads prior to processing any PHI. A9Leads will configure your account for HIPAA compliance upon execution of a BAA. When your account is configured for HIPAA compliance, A9Leads will handle PHI in accordance with the BAA, which may include specific limitations on data storage, access, and use (such as not using PHI for model training) to ensure compliance with HIPAA. You are solely responsible for ensuring your use of the Services complies with HIPAA and for obtaining all necessary consents.
You grant A9Leads LLC the right to display your organization's name and logo on A9Leads' digital and print marketing materials for promotional purposes, at A9Leads' discretion. You can revoke this consent by providing written notice to A9Leads.
If you provide A9Leads with any feedback, suggestions, improvements, or ideas regarding the Services ("Feedback"), you hereby grant A9Leads a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback for any purpose, without any obligation or compensation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. A9LEADS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
TO PROVIDE THE SERVICES, A9LEADS MAY RELY ON THIRD-PARTY PLATFORMS AND SERVICES. A9LEADS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING SUCH THIRD-PARTY SERVICES AND DISCLAIMS ALL LIABILITY FOR ANY ACTS OR OMISSIONS OF SUCH THIRD-PARTY PROVIDERS.
To the fullest extent permitted by applicable law, A9Leads LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF A9LEADS LLC FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO A9LEADS FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless A9Leads LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any other person or entity; or (d) any content or information you submit, post, transmit, or make available through the Services.
A9Leads reserves the right to modify these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website or by other means of communication. Your continued use of the Services after such modifications constitutes your acceptance of the new Terms.
These Terms shall be governed and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
